These U.S. Travel Certificate Terms & Conditions apply to U.S.-facing travel certificates supplied, arranged, promoted, donated, auctioned, sold, resold, distributed, redeemed, or made available by or through Phoenix Travel Partners, LLC, approved distributors, approved resellers, charity auctions, fundraising events, event organizers, auction platforms, fundraising platforms, promotional partners, or other authorized resale or distribution channels.

These terms apply together with the package-specific description, inclusions, exclusions, important details, redemption instructions, booking confirmation, and supplier terms for the relevant travel package.

These terms are incorporated into each travel certificate, package-specific document, auction listing, bid page, redemption instruction, QR code, printed certificate, customer-facing form, and digital or printed material that references or links to these terms.

  

Important Summary Before You Bid, Buy, Accept, Redeem, Book, or Travel

A travel certificate is not a confirmed booking. Travel is confirmed only when Phoenix Travel Partners, LLC or the appointed supplier issues written booking confirmation.

All packages are subject to availability, supplier inventory, seasonal demand, blackout dates, event restrictions, destination conditions, supplier rules, and booking confirmation.

Unless the package description expressly says otherwise, flights, airport transfers, passports, visas, travel insurance, meals, drinks, gratuities, hotel/resort fees, amenity fees, city taxes, tourist taxes, local fees, optional upgrades, deposits, incidentals, and personal expenses are not included.

Booking requests must be submitted at least 60 days before travel. Reservations may not be requested more than 6 months in advance unless the appointed supplier allows otherwise. Travel must be booked within 12 months of certificate issuance and completed within 18 months of certificate issuance, except where a longer period or paid-value protection is required by applicable law.

Certificate issuance, purchase, winning bid, donation, transfer, or receipt does not guarantee preferred dates, specific hotels, specific room types, specific suppliers, upgrades, attraction access, public ceremonies, natural phenomena, specific vehicles, specific routes, or specific experiences unless confirmed in writing.

Where a package is sold, donated, promoted, auctioned, or distributed through an approved distributor, approved reseller, charity, fundraising event, auction platform, event organizer, payment processor, promotional partner, or other resale channel, that party is responsible for auction administration, bidding rules, payment collection, payment processing, platform fees, donation statements, tax statements, charitable receipts, resale pricing, and legal compliance for its own sale or promotion.

No cash alternative or cash redemption is available except where required by applicable law.

  

Required Notice for All Printed Certificates, QR Codes, Bid Pages, Package Sheets, and Customer Forms

The following notice must appear clearly on or with each customer-facing certificate, package sheet, auction listing, QR code page, bid page, purchase page, and redemption instruction:

Please review the full terms before bidding, purchasing, accepting, gifting, redeeming, booking, or traveling. By bidding, purchasing, accepting, gifting, redeeming, booking, participating, or traveling, you agree to the full terms, package-specific terms, redemption instructions, booking confirmation, and applicable supplier terms. Certificate issuance or winning bid does not guarantee preferred dates, specific hotels, upgrades, suppliers, routes, attractions, ceremonies, natural phenomena, or experiences. Travel is subject to availability, blackout dates, booking deadlines, supplier rules, taxes, fees, exclusions, and written confirmation.

A QR code may be used for convenience, but a written URL should also be provided.

  

1. Definitions

In these terms:

“Phoenix,” “we,” “us,” or “our”means Phoenix Travel Partners, LLC.

“Certificate” means the electronic or physical travel redemption document issued or authorized for the travel package described in the approved package listing.

“Traveler” means the person or persons who redeem, book, participate in, or travel under the certificate.

“Purchaser” means the person or entity that bids on, buys, receives, donates toward, accepts, is awarded, transfers, or otherwise obtains a certificate.

“Recipient” means any person who receives a certificate by gift, transfer, auction award, donation, promotion, or other authorized method.

“Package” means the travel arrangement, accommodation, activity, tour, dining experience, transportation, or other travel service described in the approved package listing.

“Supplier” means any independent hotel, resort, tour operator, transportation provider, restaurant, venue, attraction, guide, activity provider, photographer, driver, rail operator, vessel operator, aircraft operator, ground handler, or other third party involved in providing the package.

“Approved Reseller” means any distributor, reseller, charity, event organizer, auction platform, fundraising platform, promotional partner, or other third party authorized by Phoenix in writing to market, resell, donate, distribute, auction, or promote a certificate.

“Approved Resale Channel” means any Phoenix-authorized resale, auction, fundraising, promotional, charity, event, or distribution channel through which a certificate is offered or made available.

“Downstream Party” means any reseller, sub-reseller, auction platform, fundraising platform, charity, event organizer, promotional partner, payment processor, bidder, donor, purchaser, recipient, or traveler involved after Phoenix supplies or authorizes the certificate.

“Package-specific terms” means the package title, description, inclusions, exclusions, important details, restrictions, booking instructions, supplier requirements, and booking confirmation for a specific package.

“Stated package value” means the Phoenix-approved estimated value, reference value, guide value, retail value, comparable value, or “worth” amount for a package, if one is provided.

“Paid value” means the amount paid to Phoenix for the relevant certificate or the amount that applicable law requires Phoenix to treat as protected paid value.

“Mandatory law” means any federal, state, local, consumer protection, seller-of-travel, vacation certificate, gift certificate, stored-value, unclaimed property, advertising, privacy, charitable fundraising, tax, sweepstakes, contest, raffle, gambling, accessibility, passenger-rights, health and safety, sanctions, anti-bribery, or other law that cannot legally be waived or limited by these terms.

  

2. Scope, Incorporation, and Acceptance

These terms apply to all U.S.-facing certificates supplied, arranged, promoted, donated, auctioned, sold, resold, distributed, redeemed, or fulfilled through Phoenix or an approved resale channel.

These terms are incorporated into every certificate, package listing, QR code, printed certificate, redemption instruction, booking document, and package-specific document that references or links to these terms.

By bidding on, purchasing, accepting, gifting, redeeming, booking, participating in, or traveling under a certificate, the purchaser, recipient, and traveler agree to these terms, the package-specific terms, the redemption instructions, the written booking confirmation, and all applicable supplier terms.

If there is a conflict, the following order applies to the fullest extent permitted by law:

1. Mandatory law; 

2. Written booking confirmation issued by Phoenix or the appointed supplier; 

3. Package-specific terms approved by Phoenix; 

4. These U.S. Travel Certificate Terms & Conditions; 

5. Supplier terms, safety rules, waivers, and operational requirements. 

No reseller, auction platform, charity, event organizer, fundraiser, bidder, donor, payment processor, promotional partner, or third party may change these terms or make promises on behalf of Phoenix unless Phoenix has approved the change or promise in writing.

  

3. Certificate Status

A certificate is a redemption document for the package described in the approved package listing.

A certificate is not a confirmed reservation, confirmed hotel booking, confirmed tour booking, airline ticket, rail ticket unless expressly stated, insurance product, debit card, credit card, cash equivalent, or open-ended travel credit, except to the extent mandatory law treats any paid value differently.

A certificate is valid only when issued or authorized through Phoenix or an approved resale channel.

Phoenix may decline, suspend, or require verification of any certificate that appears to be altered, duplicated, fraudulently obtained, unpaid, stolen, resold through an unauthorized channel, or marketed in a way that materially differs from Phoenix-approved terms, except where prohibited by law.

Certificate issuance, purchase, winning bid, donation, transfer, or receipt does not guarantee preferred travel dates, specific hotels, specific rooms, specific suppliers, specific vehicles, specific routes, specific venues, upgrades, attraction access, public ceremonies, natural phenomena, or specific experiences unless confirmed in writing by Phoenix or the appointed supplier.

  

4. Phoenix’s Role and Third-Party Suppliers

Phoenix arranges travel packages through independent third-party suppliers.

Phoenix does not own, operate, manage, or control the hotels, resorts, vehicles, aircraft, vessels, trains, attractions, venues, restaurants, public ceremonies, government sites, roads, waterways, weather conditions, natural phenomena, guides, photographers, drivers, activity providers, or other supplier services included in or related to a package.

Supplier services are subject to supplier availability, supplier terms, supplier safety rules, local law, operating conditions, destination conditions, and written confirmation.

Nothing in these terms removes or reduces any mandatory rights a traveler may have under applicable consumer protection, seller-of-travel, vacation certificate, gift certificate, stored-value, negligence, privacy, accessibility, passenger-rights, or other laws.

  

5. Seller of Travel, Vacation Certificate, and State-Specific Notices

Certain U.S. states regulate sellers of travel, travel agencies, vacation certificates, travel certificates, promotional travel offers, or travel-related benefits. Where required, Phoenix will include applicable registration numbers, registration statements, exemption statements, or required disclosures on its advertising, certificates, package materials, or terms.

Only valid and applicable registrations should be displayed. Any non-applicable line should be omitted rather than published with a blank placeholder.

Where required, Florida vacation certificate filings, documents, registrations, or disclosures apply.

Other State Notices:Additional federal, state, or local registrations, notices, bonding, trust-account, disclosure, or exemption requirements may apply depending on where a certificate is advertised, sold, offered, awarded, redeemed, or fulfilled.

Phoenix’s business-to-business transactions with resellers, distributors, charities, event organizers, auction platforms, promotional partners, and other commercial parties are governed by the applicable commercial agreement. Those commercial agreements do not reduce mandatory consumer rights that may apply to travelers.

  

6. Gift Certificate, Promotional Certificate, Vacation Certificate, and Paid Value Protection

Phoenix intends each certificate to be a travel package redemption document for the specific package described in the approved package listing, not an open-ended cash-equivalent gift card.

However, if applicable law treats a certificate as a gift certificate, gift card, stored-value product, vacation certificate, promotional certificate, prepaid travel entitlement, or similar paid-value instrument, Phoenix will honor any protected paid value as required by applicable law.

Promotional value, package eligibility, supplier inventory, package inclusions, booking deadlines, travel deadlines, blackout dates, seasonal restrictions, experience eligibility, and supplier availability may remain subject to these terms to the fullest extent permitted by law.

Phoenix does not charge dormancy, inactivity, or service fees on unused certificates unless expressly disclosed and permitted by applicable law.

Where applicable law requires small unused balances to be redeemed in cash, Phoenix will comply to the extent required by law.

No cash alternative, cash refund, or cash redemption is available except where required by applicable law.

  

7. Approved Resellers, Charity Auctions, Fundraising Events, and Resale Channels

Where a package is sold, promoted, auctioned, donated, distributed, or made available through an approved distributor, approved reseller, approved resale channel, charity, fundraising platform, event organizer, auction host, payment processor, promotional partner, or other downstream party, that party is responsible for its own auction process, bidding rules, payment collection, payment processing, platform fees, card fees, chargebacks, bidder communications, donation statements, tax statements, charitable receipts, resale pricing, promotional activity, and legal compliance.

No approved reseller, approved resale channel, charity, fundraising platform, event organizer, auction platform, payment processor, promotional partner, or other downstream party is authorized to alter Phoenix-approved package terms, remove restrictions, waive booking deadlines, waive blackout dates, guarantee dates, guarantee hotel properties, guarantee upgrades, guarantee supplier availability, offer refunds, make tax statements, make charitable-deduction statements, or otherwise bind Phoenix unless Phoenix has approved that representation in writing.

Phoenix is not responsible for any representation, omission, guarantee, upgrade promise, refund promise, hotel promise, date promise, tax statement, donation statement, charitable receipt, auction rule, payment issue, platform fee, bidder dispute, or resale statement made by any approved reseller, approved resale channel, charity, fundraising platform, event organizer, auction platform, payment processor, promotional partner, or other downstream party unless Phoenix approved it in writing.

No approved reseller, charity, event organizer, auction platform, fundraiser, promotional partner, or other third party may state or imply that Phoenix is the charity, donor, sponsor, tax adviser, fundraising organizer, sweepstakes sponsor, contest sponsor, or auction administrator unless Phoenix approves that statement in writing.

  

8. Stated Package Value, Winning Bids, Donations, and Auction Premiums

Any stated package value, guide value, retail value, estimated value, comparable value, or “worth” amount is provided for general reference only.

Values may vary by date, season, supplier rates, room availability, taxes, fees, exchange rates, destination charges, demand, and market conditions.

Any winning bid, donation amount, auction premium, resale markup, platform fee, buyer fee, processing fee, charitable contribution amount, tax-deductible amount, or amount paid above the stated package value is determined by the reseller, charity, event organizer, auction platform, payment processor, or bidder.

Unless mandatory law requires otherwise, any amount paid above the Phoenix-approved stated package value or the amount paid to Phoenix:

1. does not increase Phoenix’s compensation; 

2. does not increase Phoenix’s package obligations; 

3. does not increase Phoenix’s refund obligations; 

4. does not increase Phoenix’s liability; 

5. is not controlled by Phoenix; and 

6. is the responsibility of the reseller, charity, event organizer, auction platform, payment processor, or other party that receives or controls that amount. 

Phoenix makes no representation regarding donation value, tax deductibility, charitable contribution treatment, auction value, resale value, market value, fair market value, or tax treatment.

Any charity, nonprofit, auction platform, fundraiser, event organizer, or payment processor is solely responsible for donation receipts, fair market value statements, charitable deduction statements, quid pro quo disclosures, tax receipts, and donor communications.

  

9. Package Inclusions and Exclusions

Package inclusions are limited to the items expressly listed in the approved package description and written booking confirmation.

Unless expressly stated in the package description or booking confirmation, the following are not included:

1. flights; 

2. airport transfers; 

3. rail travel; 

4. ferry travel; 

5. rental cars; 

6. passports; 

7. visas; 

8. travel insurance; 

9. meals and drinks; 

10. gratuities; 

11. hotel/resort fees; 

12. amenity fees; 

13. city taxes; 

14. tourist taxes; 

15. local fees; 

16. port, marina, landing, facility, or access fees; 

17. security deposits; 

18. hotel incidentals; 

19. optional upgrades; 

20. optional excursions; 

21. shopping purchases; 

22. personal expenses; 

23. medical costs; 

24. baggage fees; 

25. parking fees; 

26. fuel charges; 

27. tolls; 

28. insurance excesses; and 

29. anything not expressly listed as included. 

Package components must be used in one booking unless the package-specific terms expressly allow otherwise.

Packages may not be split, partially redeemed, exchanged, substituted, combined, extended, or applied to other products or services by the traveler except where Phoenix or the supplier agrees in writing or where required by law.

  

10. Hotels and Accommodation

Unless the package-specific terms state otherwise, hotel stays are based on two travelers sharing one standard room.

Hotel property, location, star rating, room category, bedding, view, amenities, check-in time, check-out time, deposits, incidental hold policies, resort fees, amenity fees, local taxes, and hotel policies are subject to supplier availability and confirmation.

Hotel star ratings may be based on supplier designation, recognized travel-industry rating sources, local classification systems, or other commonly used rating references. Star ratings may vary between platforms, destinations, and countries.

Phoenix may use comparable accommodation where the originally anticipated hotel, room category, location, or supplier is unavailable, withdrawn, closed, overbooked, changed, unsafe, unsuitable, or affected by circumstances beyond reasonable control.

Mandatory lodging charges known to Phoenix and reasonably calculable before booking confirmation will be disclosed where required by law. Taxes, government charges, optional charges, incidentals, damage charges, deposits, and charges imposed after confirmation may be handled according to the booking confirmation, supplier terms, and applicable law.
